By accessing our website, placing an order, or engaging us for any custom software, web development, SEO, social media management, or design service, you agree to be bound by the following Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.

1. General

These terms apply to every visitor, registered account holder, and client who orders a service from Webnestech, whether through our website's online ordering system, a signed proposal, or a written agreement. We may update these terms from time to time to reflect changes in our services or legal requirements; the version published on this page at the time of your order or renewal applies to that engagement. Continued use of our website or services after an update constitutes acceptance of the revised terms.

2. Our Services

Webnestech is a full-service software and digital marketing agency. Depending on what you order, our services may include:

• Custom software, web application, and website development.
• Search Engine Optimization (SEO) and organic growth campaigns.
• Social media management, content creation, and paid social campaigns.
• Graphic design, branding, and creative assets.
• Ongoing website maintenance, hosting support, and technical support.

The exact scope, deliverables, timeline, and price for any service are defined at the time of order on the relevant service page, in your order confirmation, or in a separate written proposal. Where a conflict exists between this page and a signed proposal or agreement, the signed proposal or agreement takes precedence.

3. Ordering Services Online

• Several of our services can be added to your cart and ordered directly from their service page, without a prior consultation. You must create and sign in to a Webnestech account to place an order.
• Adding a service to your cart does not guarantee availability or acceptance of the order. Your order is confirmed only once you receive an order confirmation email or dashboard notification from us.
• You are responsible for reviewing the service description, deliverables, and price shown at checkout before confirming your order. If your requirements differ from the standard package, please contact us before ordering so we can quote accordingly.
• We reserve the right to decline or cancel an order — with a full refund of any amount paid for it — if the request falls outside the scope we can reasonably deliver, or for any lawful business reason.

4. Long-Term & Retainer Engagements

Services such as SEO, social media management, and ongoing maintenance are typically delivered as a recurring retainer rather than a single one-off order, often running for several months or multiple years. The following terms apply to these engagements:

• Retainers renew automatically on a monthly, quarterly, or annual cycle (as selected at checkout or in your agreement) until either party cancels in accordance with these terms.
• Either party may cancel a retainer by giving at least 30 days' written notice before the next billing cycle, unless a longer minimum term was agreed at the start of the engagement.
• The scope of a retainer (e.g. number of keywords tracked, posts per month, support hours included) is reviewed periodically and may be adjusted with mutual agreement as your business needs change.
• We will notify you in advance of any change to retainer pricing, which will take effect from your next renewal date.
• Work performed and fees charged for completed billing periods are non-refundable, even if the retainer is later cancelled.

5. Pricing & Payment

• Prices shown on our website are listed in the currency displayed at checkout and may be subject to applicable taxes.
• One-off projects may require an upfront deposit before work begins, with the balance due on agreed milestones or on completion, as stated in your order or proposal.
• Recurring retainers are billed automatically at the start of each billing cycle using the payment method on file, unless otherwise agreed in writing.
• We accept payment through the secure payment methods made available at checkout. Late or failed payments may result in a pause of active work or retainer services until the account is brought up to date.

6. Project Timelines & Delivery

Timelines shared at the time of order are estimates based on the scope agreed and on receiving the information, content, and feedback we need from you in a timely manner. Delays caused by late client feedback, missing content or access credentials, or scope changes requested after an order is confirmed are not attributable to Webnestech and may extend the original timeline.

7. Client Responsibilities

• Provide accurate business information, brand assets, content, and any access (hosting, domain, ad accounts, etc.) required to deliver the ordered service.
• Respond to review requests and feedback within a reasonable time so projects and retainer work can stay on schedule.
• Ensure you have the legal right to use any content, logos, or material you supply to us for use in your project or campaigns.

8. Revisions & Change Requests

Each service includes a reasonable number of revision rounds, as stated in the service description or proposal, to refine the work within the originally agreed scope. Requests that go beyond the original scope — such as new features, additional pages, or a change in creative direction after approval — will be quoted separately and may affect the delivery timeline.

9. Intellectual Property & Ownership

• Upon full payment, you own the final deliverables created specifically for your project (e.g. your custom code, website, or designs), unless otherwise agreed in writing.
• Webnestech retains ownership of any pre-existing frameworks, internal tools, templates, or reusable components used to build your deliverable, and grants you a licence to use them as part of your final product.
• Third-party software, plugins, stock assets, or licensed tools used in your project remain subject to their own respective licences.
• Unless you request otherwise, we may reference completed projects in our portfolio, case studies, and marketing materials.

10. Confidentiality

We treat business information, credentials, and data shared with us as confidential and will not disclose it to third parties except as needed to deliver your service (e.g. hosting providers) or as required by law. A mutual Non-Disclosure Agreement (NDA) is available on request for projects that require additional confidentiality assurances.

11. Cancellation & Refunds

Please refer to our Refund Policy for full details on cancelling an order, requesting a refund, and how partially completed or delivered work is handled. Retainer cancellations are governed by the notice period set out in Section 4 above.

12. Warranties & Limitation of Liability

• We provide a reasonable post-delivery bug-fix window (as stated in your order or proposal) to correct defects in the delivered work at no extra cost, provided the issue is not caused by changes made outside Webnestech after delivery.
• To the fullest extent permitted by law, Webnestech is not liable for any indirect, incidental, or consequential loss, including loss of revenue, data, or business opportunity.
• Our total liability for any claim relating to a service is limited to the amount you paid for that specific service in the twelve months preceding the claim.

13. SEO & Marketing Results Disclaimer

SEO, social media, and digital marketing results depend on factors outside our control, including search engine algorithm changes, market competition, and platform policy updates. While we apply proven, ethical strategies to every campaign, Webnestech does not guarantee specific rankings, traffic numbers, or conversion rates for any SEO or marketing retainer.

14. Third-Party Services

Some services may rely on third-party platforms such as hosting providers, domain registrars, payment gateways, advertising networks, or software APIs. Webnestech is not responsible for outages, pricing changes, or policy changes made by these third parties, though we will work with you to minimise any impact on your project.

15. Account Registration & Security

If you create a Webnestech account to place orders or manage a retainer, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Please notify us immediately if you suspect unauthorised access to your account.

16. Governing Law

These terms and any engagement with Webnestech are governed by and construed in accordance with the laws applicable in our jurisdiction of operation, without regard to conflict-of-law principles. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

17. Changes to These Terms

We may revise these Terms & Conditions periodically to reflect changes in our services, business practices, or legal obligations. The updated version will be posted on this page with a revised effective date, and material changes will be communicated to active retainer clients in advance where reasonably possible.
